NexCen Brands, Inc. announced that it filed a registration statement on Form S-3 to register shares issued in connection with its acquisitions of UCC Capital Corp., UCC Consulting Corp. and UCC Servicing and with its acquisition of the assets of Pretzel Time Franchising, LLC and Pretzelmaker Franchising, LLC, and in connection with the extension of its existing credit facility.
The registration of these shares does not require that any of the shares be offered or sold by the stockholders.
The Company will not receive any proceeds from potential sales of stock by the holders of the shares that have been registered. In addition, once the shares are registered for resale, holders continue to be subject to lock-up provisions that limit the amount of shares that they may be entitled to sell, as we discuss in the registration statement.
